
Terms of Use
These Terms of Use (the “Terms”) constitute a binding agreement between you and VSABF, LLC, a Florida limited liability company doing business as CliniPeptide (“CliniPeptide,” the “Company,” “we,” “us,” or “our”), and govern your access to and use of the website located at www.clinipeptide.com and any associated pages, content, documentation, and materials made available through it (collectively, the “Site”). Please read these Terms carefully before accessing or using the Site.
The Company supplies research-grade peptides and related materials for laboratory and research use only. The products and materials described on the Site are not drugs, dietary supplements, cosmetics, foods, or medical devices, and are not intended for human or veterinary use, consumption, diagnosis, treatment, cure, mitigation, or prevention of any disease or condition. By accessing the Site, you acknowledge and agree to the foregoing and to all of these Terms.
1. Definitions
For purposes of these Terms, the following capitalized terms have the meanings set forth below. Other capitalized terms are defined where they first appear.
- “Authorized User” means a Qualified User who accesses or uses the Site in accordance with these Terms.
- “COA” means a certificate of analysis or analogous analytical documentation made available by the Company for a specific Lot of a Product.
- “Content” means all information, text, data, documentation, specifications, images, graphics, logos, trademarks, page layouts, compilations, scientific summaries, and other materials made available on or through the Site.
- “Documentation” means technical and analytical materials the Company may make available in connection with a Product, including specifications, COAs, identity and purity data, and handling or storage information.
- “Lot” means a defined quantity of a Product manufactured or assembled under conditions intended to be uniform and identified by a unique lot or batch designation.
- “Product” means any research-grade peptide, compound, reference material, or related research material described on the Site, in each case supplied solely For Research Use Only.
- “Qualified User” means a person or entity that satisfies the eligibility requirements set forth in Section 4, including qualified researchers, licensed physicians and other licensed professionals acting in a research capacity, research and analytical laboratories, academic and scientific institutions, and other commercial or institutional research organizations.
- “Research Use Only” or “For Research Use Only” means use restricted exclusively to laboratory research and development conducted in vitro and outside the living body, by or under the supervision of technically qualified personnel, and not for any human or veterinary use, administration, or consumption.
- “you” or “your” means the individual accessing the Site and, where the individual is acting on behalf of an entity, that entity, which the individual represents and warrants it is authorized to bind.
2. Acceptance of These Terms
By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any additional terms, policies, or guidelines referenced herein or otherwise made available on the Site, each of which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Site.
If you are accessing or using the Site on behalf of an institution, laboratory, company, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” and “your” refer to that entity. Your continued use of the Site following the posting of any revised Terms constitutes acceptance of those revisions, as further described in Section 18.
3. Nature of the Site; No Sales, Pricing, or Ordering
The Site is an informational resource intended for Qualified Users. The Site presents information about the Company and its research-grade materials, organized for reference into the following research categories: Cognitive & Neurological; Hormonal Regulation; Immune Support & Anti-Inflammatory; Muscle Growth & Recovery; Non-peptide Health & Wellness; Tissue Repair & Regeneration; and Metabolic & Weight Management. These categories describe the areas of scientific research in which the corresponding compounds are studied and are provided for organizational and reference purposes only.
The Site does not display pricing, does not provide a mechanism to place orders, and does not constitute an offer to sell or a solicitation of an offer to buy any Product. No purchase can be made through the Site. Any supply of Products by the Company is conducted separately and is subject to the Company’s applicable terms and conditions of sale, account onboarding and qualification requirements, and verification of eligibility. Nothing on the Site creates any obligation on the part of the Company to supply any Product to any person or entity, and the Company reserves the right to decline to supply any Product in its sole discretion.
4. Eligibility and Qualified-User Representations
Access to and use of the Site is restricted to Qualified Users. By accessing or using the Site, you represent, warrant, and covenant on a continuing basis that each of the following is true:
- You are at least twenty-one (21) years of age and have the legal capacity to enter into and be bound by these Terms.
- You are a qualified researcher, a licensed physician or other licensed professional acting in a research capacity, a research or analytical laboratory, an academic or scientific institution, or another commercial or institutional research organization, and you are accessing the Site in furtherance of bona fide scientific, laboratory, or research activities.
- You possess, or act under the supervision of personnel who possess, the technical and scientific qualifications, training, facilities, and equipment necessary to handle, store, evaluate, and use research-grade materials safely and lawfully.
- You will use any Product and all Content solely For Research Use Only, in vitro and outside the living body, and not for any human or veterinary use, administration, ingestion, injection, application, or consumption of any kind.
- You are not a consumer, and you are not accessing the Site or seeking any Product for personal, household, cosmetic, dietary, or any other non-research purpose.
- Your access to and use of the Site, and your handling and use of any Product, comply and will comply with all applicable federal, state, local, and foreign laws, regulations, rules, and institutional policies, including those governing research materials, controlled and regulated substances, occupational safety, biosafety, hazardous materials, and the practice of any licensed profession.
The Company may, but is not obligated to, verify your eligibility or qualifications at any time, and may condition access, account approval, or supply of Products upon documentation reasonably satisfactory to the Company. The Company reserves the right to refuse, suspend, or terminate access to the Site or to any account, and to decline to supply any Product, for any reason or no reason, including where the Company believes, in its sole discretion, that you do not satisfy the eligibility requirements or have violated these Terms.
5. Research Use Only
All Products and all research-related Content are provided For Research Use Only — Not for human use or consumption. This designation governs all use of Products and all interpretation of Content, and you agree as follows:
- Products are intended exclusively for laboratory research and development conducted in vitro and are not intended, designed, validated, or authorized for use in or on humans or animals, or for any clinical, diagnostic, therapeutic, household, food, cosmetic, or other non-research application.
- Products are not drugs, biologics, dietary supplements, foods, cosmetics, or medical devices, have not been approved or cleared by the U.S. Food and Drug Administration or any other regulatory authority for human or veterinary use, and no representation to the contrary is made or should be inferred.
- Content describing compounds — including, by way of example and not limitation, BPC-157, TB-500, GHK-Cu, KLOW, GLOW, Retatrutide, CJC-1295, Ipamorelin, Tesamorelin, and NAD+ — refers to those compounds solely as research materials and reflects information drawn from the scientific literature presented in a neutral, educational register for reference by Qualified Users. Such Content is not, and must not be construed as, a recommendation, instruction, protocol, dosage guidance, or endorsement for any human or veterinary use.
- You assume full and exclusive responsibility for determining the suitability of any Product for your intended research, for the safe and lawful handling, storage, and disposal of any Product, and for compliance with all applicable laws, institutional review requirements, and safety standards in connection with your research activities.
6. Permitted Use
Subject to your continued compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and view the Site and its Content solely for your internal, lawful, research-related, and informational purposes as a Qualified User. You may view, and where functionality is expressly provided, download or print, Documentation such as Product specifications and Lot-specific COAs solely for your internal recordkeeping and research use, provided that you do not remove or alter any proprietary notices and do not use such materials in any manner inconsistent with these Terms.
All rights not expressly granted to you in these Terms are reserved by the Company and its licensors. No license or right is granted by implication, estoppel, or otherwise.
7. Prohibited Conduct
You agree that you will not, and will not authorize, encourage, or permit any third party to, do any of the following:
7.1 Human, Veterinary, and Non-Research Use
- Use, administer, ingest, inject, apply, or consume, or attempt or facilitate the use, administration, ingestion, injection, application, or consumption of, any Product in or on any human or animal, or for any clinical, diagnostic, therapeutic, dietary, cosmetic, household, or other non-research purpose.
- Use any Product or Content in a manner inconsistent with the Research Use Only designation or with any specification, COA, or handling information provided by the Company.
7.2 Resale, Distribution, and Consumer Diversion
- Resell, redistribute, repackage, relabel, or otherwise transfer any Product to any consumer or to any person or entity that is not a Qualified User, or in any manner intended for, or that you have reason to believe will result in, human or veterinary use or consumption.
- Market, advertise, promote, or supply any Product to the general public or as a consumer good, supplement, drug, food, or cosmetic.
7.3 Prohibited Claims and Misrepresentation
- Make, publish, repeat, or imply any therapeutic, clinical, diagnostic, medical, human-dosing, weight-loss, anti-aging, performance-enhancement, or before-and-after claim regarding any Product, or any statement that a Product is intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.
- Present, attribute, or solicit any testimonial, endorsement, or account implying human use of any Product.
- Misrepresent your identity, qualifications, eligibility, or intended use, or the nature, designation, or regulatory status of any Product or Content.
7.4 Site Integrity and Circumvention
- Circumvent, disable, or otherwise interfere with any security, eligibility-verification, authentication, or access-control feature of the Site, or attempt to gain unauthorized access to the Site, any account, or any system or network connected to the Site.
- Use any robot, spider, scraper, crawler, or other automated means to access, monitor, copy, or harvest Content or data from the Site, or otherwise reproduce, duplicate, copy, frame, mirror, or systematically extract Content except as expressly permitted under Section 6.
- Introduce any virus, malware, or other harmful code; impose an unreasonable or disproportionately large load on the Site’s infrastructure; or interfere with the proper functioning, integrity, or security of the Site.
- Reverse engineer, decompile, or disassemble any portion of the Site, or use the Site or any Content for any unlawful purpose or in violation of these Terms or any applicable law.
8. Product Information and Documentation
The Company endeavors to present accurate and current information regarding its Products, including identity, purity, and specification data and, where applicable, Lot-specific COAs. Analytical data may include, by way of example, purity assessment by high-performance liquid chromatography (HPLC), identity confirmation by electrospray ionization mass spectrometry (ESI-MS), and third-party testing results. Such data are specific to the Lot identified in the applicable Documentation and should not be assumed to apply to any other Lot.
Content and Documentation are provided for general reference and informational purposes only and may contain technical inaccuracies, omissions, or typographical errors. Specifications, availability, and Documentation are subject to change without notice. The Company does not warrant that any Content or Documentation is complete, accurate, reliable, current, or error-free, and the controlling analytical information for any given Lot is the COA or other Documentation accompanying that specific Lot. The Site does not display pricing and does not provide a means to place orders; any supply of Products is governed by the Company’s separate terms and conditions of sale as referenced in Section 3.
9. No Medical, Professional, or Other Advice
The Content is provided for general informational and educational purposes for Qualified Users and does not constitute medical, clinical, veterinary, scientific, regulatory, legal, financial, or other professional advice, and must not be relied upon as such. Nothing on the Site establishes any professional or advisory relationship between you and the Company. References to compounds and to the scientific literature are neutral and educational in nature and do not constitute guidance, instruction, or a protocol for any use. You are solely responsible for evaluating the Content, for the design and conduct of your research, and for obtaining appropriate professional advice tailored to your circumstances. You should not act or refrain from acting on the basis of any Content without conducting your own independent verification and exercising your own professional judgment.
10. Intellectual Property
The Site and all Content, including the selection, arrangement, and compilation thereof, and all trademarks, service marks, trade names, logos, and the “CliniPeptide” name and brand, together with all associated copyrights, patents, trade secrets, and other intellectual property and proprietary rights, are owned by or licensed to the Company and are protected by United States and international intellectual property laws. The use of any Company trademark or other proprietary designation without the Company’s prior written consent is strictly prohibited.
Except for the limited license expressly granted in Section 6, nothing in these Terms transfers to you any right, title, or interest in or to the Site or any Content. You may not copy, reproduce, republish, upload, post, transmit, distribute, modify, create derivative works from, publicly display, publicly perform, license, sell, or otherwise exploit any portion of the Site or Content without the Company’s prior written authorization. Any third-party names, marks, or compound designations referenced on the Site are the property of their respective owners and are used for identification and reference purposes only; such reference does not imply any affiliation with, sponsorship by, or endorsement by those owners.
11. Third-Party Links and Materials
The Site may contain links to third-party websites, resources, or materials, including references to scientific literature, that are not owned or controlled by the Company. Such links and references are provided solely for convenience and informational purposes. The Company does not endorse and is not responsible or liable for the availability, accuracy, content, products, services, or practices of any third-party site or resource, or for any reliance you place on them. Your access to and use of any third-party website or resource is at your own risk and subject to the terms, conditions, and policies of that third party.
12. Disclaimers
THE SITE AND ALL CONTENT, DOCUMENTATION, AND MATERIALS MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE COMPANY MAKES NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE, CONTENT, OR ANY PRODUCT, OR REGARDING THE SUITABILITY OF ANY PRODUCT FOR ANY PARTICULAR RESEARCH PURPOSE, ALL OF WHICH YOU ARE SOLELY RESPONSIBLE FOR DETERMINING. 13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES, OR THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, CONTENT, DOCUMENTATION, OR ANY PRODUCT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, THE COMPANY SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGE, INJURY, LOSS, OR CLAIM ARISING OUT OF OR RELATING TO ANY HUMAN, VETERINARY, OR OTHER NON-RESEARCH USE, ADMINISTRATION, OR CONSUMPTION OF ANY PRODUCT, OR ANY USE OF ANY PRODUCT IN VIOLATION OF THESE TERMS OR APPLICABLE LAW, ALL OF WHICH IS UNAUTHORIZED AND PROHIBITED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE COMPANY AND THE PARTIES IDENTIFIED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND THE COMPANY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, IN WHICH CASE THEY APPLY TO THE GREATEST EXTENT PERMITTED.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, and their respective members, managers, officers, directors, employees, agents, licensors, and suppliers (collectively, the “Indemnified Parties”), from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to: (a) your access to or use of the Site, Content, Documentation, or any Product; (b) your breach or alleged breach of these Terms or of any representation, warranty, or covenant made by you; (c) any human, veterinary, or other non-research use, administration, or consumption of any Product, or any resale, distribution, or transfer of any Product in violation of these Terms; (d) your violation of any applicable law or regulation or the rights of any third party; or (e) any negligence or willful misconduct by you. The Company reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with the Company’s defense of such claim. You may not settle any such matter in a manner that imposes any obligation or admission on any Indemnified Party without the Company’s prior written consent.
15. Export, Sanctions, and Trade Compliance
You agree to comply with all applicable export control, economic sanctions, and trade laws and regulations, including the U.S. Export Administration Regulations and the regulations administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions; that you are not identified on any restricted or denied-party list maintained by the U.S. government or other applicable authority; and that you will not access or use the Site, or directly or indirectly export, re-export, transfer, or otherwise make available any Product, Content, or Documentation, to any such country, territory, person, or entity, or for any prohibited end use, in violation of applicable law. You are solely responsible for obtaining any licenses or authorizations required in connection with your activities.
16. Force Majeure
The Company shall not be liable or responsible for any failure or delay in the performance of its obligations under these Terms, or for any unavailability or interruption of the Site, to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, governmental action or restriction, labor disputes, failures or interruptions of utilities, telecommunications, or internet service, and failures of equipment, software, or third-party service providers.
17. Term, Suspension, and Termination
These Terms remain in effect for as long as you access or use the Site. The Company may, in its sole discretion and without notice or liability, suspend, restrict, or terminate your access to all or any part of the Site, and disable any account, at any time and for any reason, including for any actual or suspected violation of these Terms. Upon termination, the license granted to you in Section 6 immediately ceases, and you must promptly discontinue all use of the Site. The provisions of these Terms that by their nature should survive termination — including Sections 3 through 5 and 7 through 24 — shall survive.
18. Modifications to the Terms and the Site
The Company may revise these Terms at any time in its sole discretion by posting the revised Terms on the Site and updating the “Last updated” date above. Any revisions are effective upon posting unless otherwise stated. Your continued access to or use of the Site after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site. The Company may also modify, suspend, or discontinue any aspect of the Site, including any Content, at any time and without notice or liability.
19. Assignment
You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without the Company’s prior written consent, and any purported assignment in violation of this Section is void. The Company may freely assign or transfer these Terms and its rights and obligations hereunder, in whole or in part, without restriction or notice. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their respective permitted successors and assigns.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable or, if it cannot be so modified, shall be severed, and the remaining provisions shall continue in full force and effect. The invalidity, illegality, or unenforceability of any provision in any jurisdiction shall not affect the validity, legality, or enforceability of that or any other provision in any other jurisdiction.
21. Entire Agreement
These Terms, together with any policies or terms expressly incorporated by reference and, where applicable, the Company’s separate terms and conditions of sale, constitute the entire agreement between you and the Company with respect to your access to and use of the Site, and supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether written or oral, with respect to that subject matter. No failure or delay by the Company in exercising any right under these Terms shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude any further exercise of it.
22. Governing Law and Jurisdiction
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or to your access to or use of the Site, shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to Section 23, you and the Company irrevocably consent and submit to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida, for the resolution of any dispute not subject to arbitration, and you waive any objection to the laying of venue in, or the exercise of personal jurisdiction by, such courts on any ground, including forum non conveniens.
23. Dispute Resolution
23.1 Informal Resolution
Before initiating any formal proceeding, the parties shall first attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site through informal negotiation. The party raising the matter shall provide written notice to the other in accordance with Section 24 describing the dispute and the relief sought, and the parties shall confer for a period of at least thirty (30) days following such notice.
23.2 Binding Arbitration
If a dispute is not resolved through informal negotiation, it shall, to the fullest extent permitted by law, be finally resolved by binding arbitration administered by a recognized arbitration provider under its applicable commercial arbitration rules then in effect. The arbitration shall be conducted before a single arbitrator, seated in Broward County, Florida, and conducted in the English language. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The arbitrator shall have authority to grant any remedy available in a court of law or equity, subject to the limitations set forth in these Terms.
23.3 Waiver of Class Proceedings
To the fullest extent permitted by applicable law, all disputes shall be resolved on an individual basis only, and you and the Company each waive any right to participate in a class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person or entity and may not preside over any form of class or representative proceeding.
23.4 Equitable Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in the state or federal courts located in Broward County, Florida, to prevent or restrain the actual or threatened infringement, misappropriation, or violation of its intellectual property or other proprietary rights, pending resolution of the underlying dispute.
