This Compliance & Research-Use Statement (this "Statement") governs all products, reference materials, and related documentation (collectively, the "Products") supplied by VSABF, LLC, a limited liability company doing business as CliniPeptide ("CliniPeptide," "we," "us," or "our"). It defines the terms under which the Products are offered, the designation under which they are sold, the representations we do and do not make, and the obligations of every party that purchases, receives, handles, or uses the Products (each, a "Customer" or "you"). By accessing this website, requesting documentation, placing an order, or accepting delivery of any Product, you acknowledge that you have read, understood, and agree to be bound by this Statement.

1. Research-Use-Only Designation

All Products supplied by CliniPeptide are designated and labeled "For Research Use Only — Not for human use or consumption" (the "RUO Designation"). The RUO Designation is a substantive condition of sale, not a formality. It means that each Product is intended exclusively for use in legitimate laboratory research, in vitro investigation, analytical method development, and other lawful scientific applications conducted by qualified persons and institutions.

1.1 What the RUO Designation Means

The Products are supplied solely as research reagents and reference materials. They are intended to be handled and used only by, or under the direct supervision of, individuals with the scientific training, professional qualifications, and facilities appropriate to the safe and lawful conduct of laboratory research. The RUO Designation applies to every Product, every lot, and every quantity we supply, without exception.

1.2 Prohibited Uses

The Products are not intended for, and may not be used in connection with, any of the following:

administration to, ingestion by, injection into, or any other introduction into the body of any human being;
administration to or use in or on any animal, including for veterinary, agricultural, or companion-animal purposes;
any diagnostic, therapeutic, preventive, palliative, or clinical application involving humans or animals;
compounding, formulation, or preparation of any product intended for human or animal consumption or application;
incorporation into any food, beverage, dietary supplement, cosmetic, drug, or medical device; or
any use that is inconsistent with the RUO Designation or with applicable law.

2. Regulatory Classification: What the Products Are Not

The Products are research reagents. They have not been evaluated, reviewed, cleared, or approved by the U.S. Food and Drug Administration ("FDA") or by any other regulatory authority for any human or veterinary use, and no such evaluation, clearance, or approval is represented or implied. Specifically, and for the avoidance of doubt:

The Products are not drugs. They are not approved drugs, investigational new drugs, or prescription pharmaceuticals, and they are not intended to diagnose, cure, mitigate, treat, or prevent any disease or condition.
The Products are not dietary supplements or foods. They are not intended to supplement the diet and may not be consumed by, or administered to, humans or animals.
The Products are not cosmetics. They are not intended to be applied to the human body for cleansing, beautifying, promoting attractiveness, or altering appearance.
The Products are not medical devices. They are not intended for use in the diagnosis, cure, mitigation, treatment, or prevention of disease, or to affect the structure or function of the body.

Because the Products are not intended for human or veterinary use, they are not labeled with adequate directions for such use and must not be used as though they were.

3. Claims We Do Not Make

Consistent with the RUO Designation, CliniPeptide makes no representation, warranty, or claim — express or implied — regarding the safety, efficacy, suitability, or outcome of any Product in connection with any human or animal use. In particular, CliniPeptide does not make, and you may not rely upon, attribute to us, or republish, any of the following:

any therapeutic, clinical, medical, diagnostic, or disease-related claim;
any claim regarding human or animal dosing, administration, routes of delivery, or treatment protocols;
any claim relating to weight loss, weight management as a personal outcome, body composition, anti-aging, longevity, athletic or sexual performance, cognitive enhancement, or any similar lifestyle or wellness benefit in humans;
any "before-and-after," outcome, or result claim of any kind; or
any testimonial, endorsement, or representation that implies or describes human or animal use of the Products.

Any reference on this website to the published scientific literature, to research categories, or to specific compounds is provided strictly for neutral, educational, and informational purposes to assist qualified researchers in identifying reference materials. Such references describe the compounds solely as subjects of laboratory research and do not constitute, and must not be construed as, a claim, recommendation, instruction, or endorsement of any human or veterinary use.

4. What We Stand Behind: Research-Grade Quality

While we make no claims regarding human or animal use, we stand firmly behind the identity, purity, and documented quality of every Product we supply for research purposes. CliniPeptide's quality program is built on objective, instrument-based analytical methods and independent verification.

4.1 Purity and Identity

HPLC purity. Product purity is assessed by high-performance liquid chromatography (HPLC), with the measured purity value reported on the applicable lot documentation.
ESI-MS identity. Product identity is confirmed by electrospray ionization mass spectrometry (ESI-MS), verifying the molecular mass of the compound against its expected value.

4.2 Third-Party Testing and Certificates of Analysis

CliniPeptide employs independent, third-party analytical testing as part of its quality program. A lot-specific Certificate of Analysis ("COA") documenting the analytical results for a given production lot is available on demand to qualified Customers. The COA reflects the analytical characteristics of the specific lot supplied and should be retained as part of your research records. Specifications and reference documentation for each Product are provided to support proper laboratory handling, identification, and use.

4.3 Scope of Warranty

Our quality representations are limited to the research-grade specifications stated on the applicable COA and Product documentation. They extend only to the identity and purity characteristics described therein, and they do not constitute any representation regarding fitness for human or veterinary use, all such uses being prohibited under this Statement.

5. Research Categories

For ease of reference and to assist qualified researchers in locating appropriate reference materials, CliniPeptide organizes its catalog into the following seven research categories. These categories describe the areas of scientific investigation in which the relevant compounds are studied in the laboratory literature. They are descriptive and organizational only, and they do not state, imply, or endorse any human or veterinary use, benefit, or outcome:

6. Customer Eligibility and Qualification

CliniPeptide is a business-to-business supplier. We sell exclusively to qualified researchers, licensed physicians, laboratories, academic and research institutions, and other organizations that purchase the Products for legitimate research purposes. We do not sell to consumers, do not offer the Products for personal use, and do not market the Products to the general public.

6.1 Eligibility Representations

By requesting documentation, placing an order, or accepting delivery of any Product, you represent and warrant that:

you are at least eighteen (18) years of age and have the legal authority to enter into a binding agreement, and, where you act on behalf of an entity, that you are authorized to bind that entity;
you are a qualified researcher, physician, laboratory, institution, or other organization acquiring the Products solely for lawful research purposes;
you possess, or operate under the supervision of a person who possesses, the scientific training, professional qualifications, and facilities necessary to handle and use the Products safely and lawfully;
you are acquiring the Products for your own research use and not for resale, redistribution, or transfer to any person for human or veterinary use; and
you will use the Products in compliance with this Statement and all applicable laws, regulations, and institutional policies.

6.2 Qualification and Verification

CliniPeptide reserves the right, in its sole discretion, to request documentation verifying a Customer's qualifications, institutional affiliation, or intended research use, and to decline, suspend, condition, or cancel any order or account where eligibility cannot be established or where we have reason to believe the Products may be used in a manner inconsistent with this Statement.

7. Manufacturing and Labeling

The Products are manufactured for CliniPeptide (VSABF, LLC) by an FDA-registered contract manufacturer. Each Product is labeled in a manner consistent with its status as a research reagent, including the RUO Designation.

7.1 Research-Reagent Labeling

Consistent with 21 CFR 201.1 and applicable labeling requirements, the Product label identifies CliniPeptide as the entity for which the Product is manufactured. Product labels bear the statement "For Research Use Only — Not for human use or consumption" and do not provide directions for human or veterinary use, because the Products are not intended for, and must not be used for, any such purpose.

7.2 Registration Is Not Approval

The fact that a contract manufacturer is registered with the FDA, or that an establishment is registered or a Product is listed, does not constitute, indicate, or imply FDA approval, clearance, endorsement, or evaluation of any Product. Establishment registration and product listing are administrative requirements; they are not a determination by FDA that any Product is safe, effective, or appropriate for any human or veterinary use. No representation of FDA approval should be inferred from this Statement, from any label, or from any reference to a registered manufacturer.

8. Handling, Storage, and Reconstitution

The Products are laboratory reagents and must be handled accordingly, using appropriate personal protective equipment, engineering controls, and laboratory safety practices. Customers are responsible for handling, storing, and disposing of the Products in compliance with applicable laboratory-safety and environmental requirements.

Store the Products as directed on the applicable Product label, specification sheet, or COA. Many lyophilized peptides are best maintained in a cool, dry environment, protected from light and moisture.
After reconstitution, store the resulting solution under refrigeration and handle it within the period appropriate to the specific compound and its documented stability characteristics.
Avoid repeated freeze-thaw cycles and other conditions known to degrade peptide and reagent stability.

The foregoing notes address laboratory storage and stability of research reagents only. They are not instructions for, and must not be read as authorizing, any human or veterinary use of the Products.

9. Anti-Diversion and Lawful-Use Expectations

CliniPeptide supplies the Products on the express condition that they will be used only for lawful research and never diverted to human or veterinary use or to any unlawful purpose. As a condition of purchase, each Customer agrees that it will:

use the Products solely for legitimate laboratory research consistent with the RUO Designation and this Statement;
not administer, ingest, inject, apply, or otherwise introduce the Products into any human or animal, and not provide, sell, or transfer the Products to any person for such use;
not resell, repackage, relabel, or redistribute the Products in any manner that removes, obscures, or contradicts the RUO Designation;
not use the Products to compound, formulate, or manufacture any product intended for human or animal consumption or application;
comply with all applicable federal, state, and local laws and regulations, and with all applicable institutional, ethical, and safety policies governing the acquisition, possession, handling, and use of the Products; and
maintain appropriate records of receipt, storage, and use sufficient to demonstrate compliance with this Statement.

CliniPeptide reserves the right to refuse, limit, suspend, or cancel any order or account, and to take such further action as it deems appropriate, where it determines, in its sole discretion, that a Customer has violated, or is likely to violate, these lawful-use expectations or this Statement. The Customer assumes full responsibility and liability for its handling and use of the Products following delivery and agrees to indemnify CliniPeptide against any claim arising from the Customer's use, misuse, diversion, or onward distribution of the Products.
